This Agreement is between Operion Ecommerce & Software Sdn Bhd (“OPERION”) and the (“CLIENT”). By signing, the Client agrees to use the TxBILLING system under these terms:

1. Purpose & Onboarding: The Client agrees to onboard TxBILLING to comply with Malaysia’s LHDN E-Invoicing requirements and will provide accurate documents and information, including SSM registration, company details, and LHDN MyTax login credentials.

2. Access & Confidentiality: The Client authorizes OPERION to access LHDN MyTax solely for system setup. OPERION will keep all information confidential but is not liable for mishandling or unauthorized access by the Client.

3. Client Responsibilities & Indemnity: The Client is fully responsible for all system use, accuracy, and compliance. Any fines, penalties, or losses for any reason are the Client’s responsibility. The Client indemnifies OPERION from any claims arising from misuse or non-compliance.

4. OPERION’s Responsibilities & Liability: OPERION will provide system setup, user activation, basic training, and technical support. OPERION does not provide tax, accounting, or compliance advice and is not liable for errors, disruptions, or losses from third-party systems or the Client’s actions. Liability, if any, is limited to fees paid.

5. Fees & Service: All fees must be paid before activation and are non-refundable. OPERION will make reasonable efforts to ensure system availability but is not liable for downtime caused by third-party systems or network issues.

6. Termination: Either party may terminate with 60 days’ written notice. OPERION may suspend or terminate access immediately for breach or non-payment. No refunds are given for fees paid.

7. Changes & Governing Law: OPERION may update terms to comply with regulations. Continued use indicates acceptance. This Agreement is governed by Malaysian law.

Client Confirmation / Signature: By signing, the Client confirms acceptance of all terms, authorizes OPERION to set up the system using provided credentials, and accepts full responsibility for compliance.
